Terms & Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Salty mobile application, website, and related services (the "Service") operated by Salty Digital LLC ("Salty," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that: (a) you are at least 13 years of age; (b) you have the legal capacity to enter into a binding agreement in your jurisdiction; and (c) you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Salty is a mobile application that allows users to:

3. User Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes. You may not create an account on behalf of another person without their authorization.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@saltydigital.ai if you suspect any unauthorized access to or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may also delete your account at any time through the app settings.

4. User Content

4.1 Ownership

You retain ownership of content you create, upload, or share through the Service ("User Content"), including photos, notes, ticket information, and direct messages. By submitting User Content, you grant Salty Digital LLC a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process that content solely as necessary to operate and improve the Service.

4.2 Content Standards

You agree not to upload, post, share, or send (including in direct messages) content that:

You can block and report other users from their profile; blocked users are listed in Settings → Privacy → Blocked users.

4.3 Removal of Content

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise objectionable, without prior notice.

5. Gmail & Google Integration

If you connect your Gmail account, you authorize Salty to access your Gmail solely to detect and import ticket confirmation emails. You represent that you are the owner or authorized user of the connected Google account. You may revoke this access at any time through app settings or Google Account settings. Salty's use of Gmail data complies with the Google API Services User Data Policy including the Limited Use requirements.

6. Prohibited Conduct

You agree not to:

6a. Direct Messages

Direct messages are available only between users who are connected as friends. You agree not to use direct messages to harass, threaten, spam, or send content that violates Section 4.2. We may access message content where reasonably necessary to investigate reports, enforce these Terms, protect users, or comply with law. You can block a user to stop receiving their messages.

7. Intellectual Property

The Service and its original content, features, and functionality — including the Salty name, logos, design, and source code — are the exclusive property of Salty Digital LLC and are protected by copyright, trademark, and other applicable intellectual property laws. You may not use, copy, reproduce, or distribute any part of the Service without our prior written consent.

8. Third-Party Services

The Service integrates with third-party platforms and APIs including Google, Ticketmaster, Setlist.fm, TheSportsDB, and Spotify. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the content, accuracy, availability, or practices of any third-party services.

9. Subscriptions, Billing & Cancellation

9.1 Salty Premium

Some features are offered through Salty Premium, an auto-renewing subscription sold in monthly and annual terms. The features included in Premium may change as the Service develops; where a change removes a feature you are paying for, we will tell you before your next renewal.

9.2 Price

The price of each term, in your local currency and including any applicable promotion, is shown on the purchase screen before you confirm, and again by the App Store or Google Play at confirmation. That displayed price governs. Prices may differ by country and may change; a price change never applies to a term you have already paid for, and where the law requires it we will obtain your consent before a changed price takes effect.

9.3 Payment and auto-renewal

Payment is charged to your Apple ID or Google Play account when you confirm the purchase. A subscription renews automatically for the same term at the then-current price unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account is charged for the renewal within the 24 hours before the current period ends.

9.4 Managing and cancelling

You manage the subscription, including turning off auto-renewal, in your store account settings: on iOS in Settings > [your name] > Subscriptions, and on Android in Google Play > Payments and subscriptions. Salty cannot turn off auto-renewal on your behalf. Cancelling stops future renewals; it does not shorten a period you have already paid for, and Premium stays active until that period ends.

9.5 Refunds

Purchases are processed by Apple and Google, not by Salty Digital LLC, so refunds are requested from and granted by them under their own policies (Apple: reportaproblem.apple.com; Google Play: play.google.com/store/account/subscriptions). Where consumer law in your jurisdiction gives you a right to cancel or to a refund, that right applies and nothing here limits it. We will help with a store refund request where we can.

9.6 Free trials and offers

Where a free trial or introductory offer is available, its length and terms are shown before you confirm. Unless auto-renewal is turned off at least 24 hours before it ends, a trial converts automatically into a paid term at the price shown. Any unused portion of a free trial is forfeited if you buy a subscription before the trial ends.

9.7 Deleting your account

Deleting your Salty account does not by itself cancel a subscription bought through Apple or Google, because the subscription lives in your store account. Cancel it there, as described in 9.4.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Salty does not guarantee the accuracy, completeness, or timeliness of event data, setlists, scores, or other third-party enrichment data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALTY DIGITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED USD $50.

12. Indemnification

You agree to indemnify, defend, and hold harmless Salty Digital LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of or inability to use the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service or any feature thereof at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by in-app notification or email. Your continued use of the Service after revised Terms take effect constitutes your acceptance of those changes.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New Jersey. Before initiating any legal action, you agree to first contact us at privacy@saltydigital.ai and provide a written description of the dispute. Both parties will make a good-faith effort to resolve the dispute informally within 30 days.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Salty Digital LLC regarding your use of the Service and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
